• Any orders placed by you will be subject to these terms and conditions.

Online Orders

• When you buy online you must provide us with a valid email address. We will send you an order acknowledgement email detailing the products you have ordered.
  

• All Products shown on the website are subject to availability.
  

• The technical steps required to create the contract between you and us are as follows:
  

• You place the order for your Product(s) on the website
  

• You will be guided through the process of placing an order by a series of simple instructions
  

• Payment will be taken immediately once you submit payment
  

• Once your order is accepted, your goods will be shipped according to the shipping method selected
  

Order Acceptance, Cancellation and Amendment

• The email confirming receipt of an order confirms only that your order has been entered into our systems for processing
  

• Codelocks reserve the right to cancel any order received prior to shipping that order
  

• Recipients of any delivery are entitled to replacement of goods that arrive damaged.
  

• If a refund or exchange is required, the shipped order will have to be returned to us. Once we have received the goods the purchaser will be refunded or the goods shall be exchanged if damaged.
  

• If you wish to amend your order you must contact us as soon as possible after your order has been placed. Orders are normally processed within 1 working day so we may have already shipped your order. If your order is delivered and you wish to return it, you will have 7 days from date of delivery to do so (please see our returns policy for further details) at your costs unless the goods are defective.
  

• All goods must be returned in their original packaging with both the goods and packaging in A1 condition, and shipped in a suitable container or box to prevent damage to the packaging or product.

Special Offers

• Special offer coupons when available, are offered in good faith. Where abuse is suspected, Codelocks reserve the right cancel the affected order prior to shipping
  

• Codelocks reserve the right to make amendments to offers including the reduction of validity periods or discount amounts and the withdrawal of special offers prior to their expiration date
  

Payment

• With regards to any contract for the purchase of Products from our website, all prices and delivery charges are excluding tax.
  
• Where applicable, tax is added during the "add to basket" process. Tax is at the current rate and is correct at the time of entering your order onto our system. The total cost of your order is the price of the products ordered plus delivery charges (where applicable) and applicable sales tax. Payment can be made by most major credit and debit cards.
  
• You confirm that the credit or debit card that is being used is yours. All credit/debit cardholders are subject to validation checks and authorization by the card issuer. If the issuer of your payment card refuses to or does not, for any reason, authorize payment to us, we will not be liable for any delay or non-delivery.
  

Refusal of transaction

• With regard to any contract for the purchase of products from our website we reserve the right to withdraw any products from the website at any time and /or remove or edit any materials or content on the website. We may refuse to process a transaction for any reason or refuse service to anyone at any time at our sole and unfettered discretion. We will notify you if we do not accept your order. • Stipulate the delivery address if different to invoice address. Please note that PO Box numbers, mail forwarding addresses and temporary residence addresses are not acceptable.
  

Shipping

• Codelocks reserves the right to chose or make changes to the shipping agent used to despatch orders. Where additional charge is necessary, you will be contacted prior to order dispatch.
  

• Where free shipping offers exist, Codelocks reserve the right to modify or remove the free shipping offer at any time without prior notice.
  

• Free shipping applies only to the United States. Shipping charges will be applied for all other destinations.
  

Returns

• If you order from us you have the right to return the goods within 7 days of receipt of the goods. Requests for returns after this period will be at our discretion. Refunds can only be requested by the purchaser.

  • The electrical Codelocks require batteries (included with the product). Note that some countries do not allow the import of electronic products with batteries included. For these countries Codelocks will remove the batteries from the product.

Limited Warranty

• SELLER EXPRESSLY WARRANTS THAT ALL GOODS DELIVERED PURSUANT TO THIS PURCHASE ORDER WILL CONFORM, WITHIN NORMAL RANGE OF TOLERANCES, TO THE SPECIFICATIONS, DRAWINGS, SAMPLES, OR OTHER DESCRIPTION TIMELY FURNISHED OR SPECIFIED BY BUYER.
  

• In the event any goods do not conform, Seller agrees to refund the purchase price, or to repair or replace any such non-conforming goods that have been timely identified by Buyer as non-conforming. Buyer acknowledges that a refund, repair or replacement of non-conforming goods pursuant to this limited warranty is the sole remedy available to Buyer for a claim of non-conforming goods.
  
• The Buyer must make any claims related to shortages, quality, or specification within the first 7 days after the receipt of merchandise. The Seller cannot be responsible for shortages when shipments are directed to a third party. Time is of the essence in the performance of the terms and conditions of this Agreement.
  
• Buyer must notify Seller in writing of all claims for damages resulting from late delivery or any other defect that is known to Buyer at the time Buyer receives the merchandise. Buyer hereby waives any claim for damages resulting from any defect Buyer is aware of; including late delivery, at the time Buyer accepts the merchandise.
  
• Once Buyer alters the merchandise in any way, the Buyer cannot return or make a claim relating to such merchandise.
  
• Seller expressly disclaims any responsibility for determining whether the goods ordered are appropriate for any particular application, project, or installation, including, but not limited to, whether the goods comply with any codes, statutes, regulations, or other issue regarding the installation and usage of the goods. Buyer is responsible for retaining the appropriate professional to advise Buyer regarding the application, installation and usage of the goods.
  
• EXCLUSION OF IMPLIED WARRANTIES:THE BUYER RECOGNIZES THAT IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR PARTICULAR PURPOSE AND ALL OTHER WARRANTIES IMPLIED ARE EXCLUDED FROM ANY TRANSACTION BETWEEN BUYER AND SELLER AND SHALL NOT APPLY TO THE GOODS SOLD BY SELLER. SELLER SHALL ALSO NOT BE LIABLE FOR ANY CONSEQUENTUAL DAMAGES. ANY CREDIT FOR NON-CONFORMING GOODS WILL BE BASED ON THE PRICE SPECIFIED IN BUYER’S PURCHASE ORDER AND NOT ON THE PRICE BUYER RESELLS THE GOODS TO THIRD PARTIES. BUYER ACKNOWLEDGES THAT THE P.O. PRICE OF THE GOODS REFLECTS THESE TERMS AND THAT THE PRICE WOULD BE HIGHER ABSENT THESE LIMITATIONS.
  

Indemnification and Release for Commercial Customers.

• This provision applies only if Buyer is engaged in a commercial enterprise. Buyer agrees to indemnify, defend, hold harmless and release Codelocks from and against any liability, loss, damage, cost, claim, action, suit or expense, including attorney’s fees and costs, which Codelocks, Buyer or other person’s might sustain as a result of the goods sold by Codelocks to Buyer, Buyer’s default of this agreement or Buyer’s willful or negligent acts or omissions.
  

Miscellaneous

• Any transactions between the Buyer and the Seller are governed by the laws of California, and the Buyer and any guarantor hereby consent to the jurisdiction of the courts of Orange County, California, for any claims or controversies arising in the sale of garments by the Seller to the buyer. The Seller also reserves the right to sue the Buyer or its guarantor in the province or state of its domicile. BUYER AND ANY GUARNATOR HEREBY WAIVE THEIR RIGHT TO A JURY TRIAL.
  

• This document and any related purchase order is the entire agreement between the Parties pertaining to the subject matter hereof, and supersedes all previous and concurrent understandings, written or oral, between the Parties. The parties represent and warrant that they have not executed this Agreement in reliance upon any promise, inducement, representation, or other agreement not contained herein. This Agreement may be amended only by a written instrument signed by both parties.
  
• A provision or breach of this Agreement can only be waived in a writing signed by the affected Party. A waiver of a breach shall not constitute a continuing waiver or a waiver of any subsequent breach or default hereunder by the other Party.
  
• In case any one or more of the provisions in this Agreement should be deemed invalid, illegal or unenforceable in any respect, the remaining provisions contained herein shall not in any way be affected or impaired thereby.
  
• In the event of any litigation or collections efforts in connection with this agreement, the prevailing party shall be entitled to be reimbursed for all costs of the litigation or collections, including court costs, expert witness fees, investigation costs and attorney’s fees.
  
• Signatures transmitted by facsimile or email shall be deemed adequate for purposes of executing and enforcing this Agreement.
